CMC Rises 2% as Q4 Earnings Surge and Steel Margins Strengthen

CMC (NYSE: CMC) shares rose about 2% after the company reported strong fiscal fourth-quarter 2026 results, with sharply higher earnings, expanding margins and solid demand across key industrial and infrastructure markets.

Fourth-quarter net sales increased 25.7% year over year to $2.66 billion. Net earnings rose 40% to $212.5 million, or $1.91 per diluted share, while adjusted EPS increased 52.6% to $2.09. Core EBITDA climbed 35.1% to $393.7 million and core EBITDA margin expanded 100 basis points to 14.8%.

North America Steel was the main driver. Adjusted EBITDA increased 32.6% to $317.5 million, while margin improved to 16.4% from 14.8%. Metal margin rose by $84 per ton year over year to $652, supported by higher selling prices and lower sequential scrap costs.

Demand trends also remained healthy. Merchant bar shipments jumped 27.5% year over year, helped by industrial and data center-related activity, while downstream backlog volumes increased 15.5%. Management also cited strength in energy, semiconductor manufacturing, industrial manufacturing and public infrastructure.

Construction Solutions also posted strong reported growth, with revenue up 94.5% and adjusted EBITDA up 100.9%, although precast performance came in below management’s prior expectations because of residential softness in parts of the Southeast.

CMC ended the quarter with net leverage of 1.9x, below its 2x target, and more than $2.0 billion of available liquidity. The company also repurchased $26.7 million of stock during the quarter.

The 2% gain appears to reflect strong earnings growth, improving steel margins and healthy backlogs, which outweighed softer precast results and expectations for some normal seasonal pressure in the first quarter of fiscal 2027.
Commercial Metals Company (NYSE: CMC) gained 4% after reporting strong fiscal third-quarter results, driven by expanding margins, robust construction demand, and significant earnings growth across its businesses.

The steel producer posted net earnings of $173 million, or $1.55 per share, while adjusted earnings rose to $1.73 per share. Core EBITDA surged nearly 79% year-over-year to $353.6 million, with EBITDA margin expanding 440 basis points to 14.2%, reflecting stronger steel margins, contributions from recent precast acquisitions, and continued benefits from the company's Transform, Advance, Grow (TAG) initiatives.

Management highlighted solid demand from infrastructure projects, data centers, semiconductor facilities, and energy-related construction, supporting strong order books and healthy backlogs. The company also continued to strengthen its balance sheet, reducing leverage while returning capital to shareholders through dividends and share repurchases.

Looking ahead, CMC expects fourth-quarter EBITDA to increase sequentially, supported by favorable market conditions, improving steel margins, and continued momentum in its Construction Solutions business. The upbeat outlook and strong profitability helped lift investor confidence, sending the shares higher.
Commercial Metals Company reported a strong start to fiscal 2026, posting sharply higher earnings and margins in its first quarter ended November 30, 2025, supported by favorable market conditions, operational execution, and progress under its Transform, Advance, and Grow (TAG) program.

The company recorded first-quarter net earnings of $177.3 million, or $1.58 per diluted share, compared with a net loss a year earlier. Adjusted earnings rose to $206.2 million, or $1.84 per diluted share. Consolidated core EBITDA climbed about 52% year over year to $316.9 million, resulting in a core EBITDA margin of 14.9%. Net sales increased to $2.1 billion from $1.9 billion in the prior-year period.

CMC said results were driven primarily by strong performance in its North America Steel Group, where margins continued to expand and adjusted EBITDA rose nearly 58% year over year to $293.9 million. Steel product margins improved for a third consecutive quarter, reaching their highest level in almost three years. The Construction Solutions Group, formerly the Emerging Businesses Group, also delivered record first-quarter results, with adjusted EBITDA up nearly 75% year over year, supported by solid demand and improved commercial discipline.

During the quarter, CMC completed the acquisitions of CP&P and Foley, deploying more than $2.5 billion of capital to establish a new growth platform in precast concrete. The company ended the quarter with $3.0 billion in cash and strong liquidity, repurchased $38.9 million of shares, and declared its 245th consecutive quarterly dividend of $0.18 per share.

Looking ahead, management expects a modest seasonal slowdown in the second quarter but anticipates contributions from the newly acquired precast businesses to partially offset weaker volumes. CMC reaffirmed confidence in its outlook, targeting an annualized EBITDA benefit of $150 million from the TAG program by the end of fiscal 2026 and highlighting a positive long-term demand backdrop for construction-related markets.

Commercial Metals Company (NYSE: CMC) announced it has completed the $675 million cash acquisition of Concrete Pipe & Precast, LLC (CP&P) from Eagle Corporation and ECPP, LLC, subject to customary adjustments. The business is positioned to benefit from strong regional demand drivers, including data center construction, stormwater management, industrial reshoring, and infrastructure investment.

CMC’s President and CEO Peter Matt said the deal is a key milestone in the company’s growth strategy, expanding its solutions offering and value proposition for customers while supporting shareholder value creation. The company also reiterated that it expects to close its previously announced acquisition of Foley Products Company by the end of 2025. After completing both transactions, CMC will operate one of the largest precast concrete platforms in the U.S., with a leading presence across the Mid-Atlantic and Southeastern regions.

The notes, offered under Rule 144A and Regulation S, are expected to close on November 26, 2025. Proceeds will be used to finance CMC’s previously announced acquisition of Foley Products Company, along with related fees and general corporate purposes.

The offering is not contingent on completion of the acquisition, and the notes will rank equally with the company’s existing and future senior unsecured debt.
Commercial Metals Company will acquire Foley Products Company, the largest regional precast concrete supplier in the U.S., for $1.84 billion in cash. The deal, expected to close after regulatory review, will make CMC the third-largest precast player in the country and strengthen its presence in the Mid-Atlantic and Southeast. CMC projects the acquisition to be immediately accretive to earnings and free cash flow, with $25–30 million in annual synergies by year three. Combined with its pending CP&P purchase, CMC will operate 35 facilities across 14 states.
