Commercial Metals Company raises 2 billion dollars in senior notes to fund Foley Products acquisition

Commercial Metals Company announced it has priced a 2 billion dollar private offering of senior unsecured notes, issuing 1 billion dollars of 5.75 percent notes due 2033 and 1 billion dollars of 6.00 percent notes due 2035.

The notes, offered under Rule 144A and Regulation S, are expected to close on November 26, 2025. Proceeds will be used to finance CMC’s previously announced acquisition of Foley Products Company, along with related fees and general corporate purposes.

If the Foley acquisition does not close by October 15, 2026—or if the purchase agreement is terminated earlier—CMC will be required to redeem the full amount of the notes at 100 percent of the issuance price plus accrued interest.

The offering is not contingent on completion of the acquisition, and the notes will rank equally with the company’s existing and future senior unsecured debt.
