Howmet Aerospace Inc. announced that Executive Chairman and CEO John Plant sold 800,000 shares of common stock on May 12 for estate, tax, and financial planning purposes. This marks his first-ever sale of Company stock during his tenure as a director or officer.

Despite the sale, Plant maintains significant ownership, holding 2,816,585 shares directly or through family trusts. Including unvested restricted share units, his potential total interest remains at approximately 3.16 million shares, keeping him among the Company’s top 25 shareholders. The Company emphasized that the move reflects long-term planning and does not diminish Plant’s confidence in Howmet's future.
Howmet Aerospace Announces Resignation of Board Member David J. Miller

Howmet Aerospace has announced the resignation of Board Director David J. Miller, effective immediately. The company confirmed that Mr. Miller's departure was not due to any disagreement regarding operations, policies, or practices.

The Board acknowledged Mr. Miller’s long-standing service, emphasizing his valuable leadership through key phases of the company’s development. His contributions were particularly noted during and after the company’s structural separation. Howmet expressed gratitude for his guidance and extended best wishes for his future.
Howmet Aerospace reported strong first quarter 2025 results with record revenue of $1.94 billion, up 6% year-over-year, led by 9% growth in Commercial Aerospace.

GAAP net income rose to $344 million from $243 million a year ago, with EPS increasing to $0.84 from $0.59. Adjusted EPS was $0.86, up 51%, and adjusted EBITDA reached $560 million, marking a 28% increase and a margin of 28.8%. The company generated $253 million in operating cash flow and $134 million in free cash flow.

$125 million was used for share repurchases in Q1, with another $100 million in April. The quarterly dividend was raised to $0.10 per share, doubling year-over-year. Full-year 2025 guidance was raised for adjusted EBITDA, adjusted EPS, and free cash flow.
