HubSpot Shareholders Approve Governance Reforms, Elect Directors at 2025 Annual Meeting
Cambridge, MA – June 10, 2025 – HubSpot, Inc. (NYSE: HUBS) announced the results of its 2025 Annual Meeting of Stockholders held on June 4, 2025. Shareholders voted in favor of significant corporate governance reforms and elected three directors to the Board.

Board Governance Changes
Shareholders approved an amendment to HubSpot’s Certificate of Incorporation and Bylaws to declassify the Board, allowing for annual elections of directors.
Provisions requiring supermajority voting for certain decisions were eliminated, marking a move toward more flexible and shareholder-friendly governance.
A stockholder proposal for a simple majority vote standard also passed with majority support.
Director Elections
Three directors were elected to serve until the 2028 annual meeting:
Lorrie Norrington: 42.6M votes for, 1.8M against
