Cadence Stockholders Approve Director Elections and Executive Pay; Board Expands Share Repurchase Program
At its annual stockholder meeting held May 8, 2025, Cadence Design Systems shareholders approved key proposals, including the re-election of ten board members and an advisory vote in favor of the company’s executive compensation plan. All nominated directors, including CEO Anirudh Devgan and board chair James D. Plummer, were re-elected by majority vote, though a few saw lower support compared to others.
Shareholders also ratified the appointment of PricewaterhouseCoopers LLP as the company’s independent auditor for fiscal 2025. However, a stockholder proposal seeking additional disclosure around political spending was rejected, with a majority voting against it.
Separately, Cadence’s board of directors authorized an expansion of the company’s share repurchase program, increasing it by $1.5 billion. The company may execute these repurchases in various forms, including open market purchases and structured transactions, subject to market conditions and regulatory considerations. The program does not carry an expiration date and may be adjusted or discontinued at any time.
