Albemarle Shareholders Approve Board and Simple Majority Proposal, Back Executive Pay
At its 2025 Annual Meeting, Albemarle Corporation shareholders elected all 10 board nominees, with each director receiving a clear majority of votes cast. The most contested seat was that of James J. O’Brien, who received 74.8 million votes in favor and 4.9 million against.
In a non-binding advisory vote, shareholders approved the executive compensation package with approximately 55 million votes in favor and nearly 25 million against.
Auditor ratification passed easily, as over 88.9 million shares supported PricewaterhouseCoopers LLP as Albemarle’s independent registered public accounting firm for fiscal 2025.
Notably, shareholders also approved a shareholder proposal advocating for a simple majority voting standard. The proposal passed with 54.4 million votes in favor, signaling investor interest in reducing supermajority requirements for future governance decisions.
