McKesson and CD&R to Acquire Option Care Health in $5.8 Billion Deal

McKesson (NYSE: MCK) and private investment firm CD&R agreed to acquire Option Care Health (Nasdaq: OPCH) for $32.05 per share in cash, valuing the home infusion provider at approximately $5.8 billion.

Under the deal, CD&R will own about 51% of Option Care Health, while McKesson will invest roughly $1.4 billion for a 49% minority stake. The agreement also creates a framework that could allow McKesson to acquire CD&R’s interest in the future, subject to conditions and regulatory approvals.

The offer represents a premium of about 37% to Option Care Health’s October 5 closing price. The transaction is expected to close in the first half of 2027, after shareholder and regulatory approvals, and Option Care Health will become a privately held company.

McKesson said the investment supports its strategy of expanding access to specialty therapies in lower-cost settings, including patients’ homes and ambulatory infusion sites. Option Care Health is the largest independent provider of home and alternate-site infusion services in the U.S.

The deal strengthens McKesson’s exposure to specialty care and home-based treatment as complex therapies increasingly move outside traditional hospital settings.
