Medtronic Launches Exchange Offer to Complete MiniMed Separation

Medtronic launched an exchange offer aimed at completing the separation of MiniMed Group, its former diabetes business, allowing Medtronic shareholders to exchange their shares for MiniMed stock.

Medtronic plans to split off at least 80.1% of MiniMed shares through the transaction. MiniMed completed its IPO in March 2026, but Medtronic retained roughly 90% ownership. The exchange is expected to be generally tax-free for Medtronic and participating shareholders for U.S. federal income tax purposes.

Participating shareholders will be offered MiniMed shares at a 7% discount, subject to a maximum exchange ratio of 4.5939 MiniMed shares for each Medtronic share. If the upper limit does not apply, investors are expected to receive approximately $107.53 of MiniMed stock for every $100 of Medtronic shares tendered.

Medtronic currently owns about 252.8 million MiniMed shares and is initially offering up to 225.4 million through the exchange. If demand is high enough, the company intends to offer its remaining 27.5 million shares as well, potentially eliminating its ownership position entirely. If the offer is not fully subscribed, Medtronic plans to divest the remaining stake through another transaction.

The separation would allow Medtronic to concentrate capital on its Cardiovascular, Neuroscience and Surgical businesses, while giving MiniMed greater independence to pursue growth in diabetes technology.
