CVS Health announced that its subsidiary Omnicare has entered into an asset purchase agreement with GenieRx Holdings as part of an ongoing court-supervised sale process.
GenieRx will act as the “stalking horse bidder,” setting a baseline value for Omnicare’s assets while allowing competing bids. The deadline for alternative offers is April 30, with a potential auction scheduled for May 5, 2026.
Omnicare said it will continue operating normally during the process, maintaining pharmacy services for long-term care facilities, including skilled nursing and assisted living communities.
The company emphasized that the agreement reflects continued interest in its business and supports efforts to maximize value while ensuring uninterrupted care for patients.
