Danaher Corporation (NYSE: DHR) has entered into a definitive agreement to acquire Masimo Corporation (NASDAQ: MASI) for $180 per share in cash, valuing the deal at approximately $9.9 billion, including debt.

Masimo, a specialist in pulse oximetry and patient monitoring solutions used primarily in acute care settings, will operate as a standalone business within Danaher’s Diagnostics segment alongside Radiometer, Leica Biosystems, Cepheid and Beckman Coulter Diagnostics.

Danaher expects Masimo to generate more than $530 million in EBITDA in 2027 and deliver high-single-digit core revenue growth over the long term. The transaction is projected to be accretive to adjusted diluted EPS by $0.15–$0.20 in the first full year and around $0.70 by the fifth year post-closing. Danaher also anticipates over $125 million in annual cost synergies and more than $50 million in annual revenue synergies by year five.

The acquisition is expected to close in the second half of 2026, subject to regulatory approvals and Masimo shareholder approval. Danaher plans to finance the deal with cash on hand and debt.
