Albertsons Companies, Inc. announced a major debt refinancing transaction, issuing new senior notes to extend maturities and refinance near-term obligations.

On February 2, 2026, Albertsons issued $1.2 billion of 5.625% senior notes due 2032 and $900 million of additional 5.750% senior notes due 2034. The notes were sold to qualified institutional buyers under Rule 144A in the U.S. and to non-U.S. investors under Regulation S. The securities are unsecured and guaranteed on a senior unsecured basis by certain domestic subsidiaries.

The company plans to use the net proceeds, together with cash on hand, to redeem in full $1.35 billion of 4.625% senior notes due 2027 and $750 million of 5.875% senior notes due 2028, effectively refinancing upcoming maturities and extending its debt profile. Remaining proceeds will be used to cover related fees and expenses.
