Pfizer – Second Antitrust Lawsuit Against Metsera and Novo Nordisk
Pfizer Inc. (NYSE: PFE) announced that it has filed a second federal antitrust lawsuit against Metsera, Inc., its controlling stockholders, and Novo Nordisk A/S in the U.S. District Court for the District of Delaware.
The company alleges that Novo Nordisk’s proposed acquisition of Metsera is an anticompetitive attempt to maintain its dominance in the GLP-1 drug market by blocking an emerging American competitor from gaining Pfizer’s support. Pfizer claims the transaction violates Sections 1 and 2 of the Sherman Act and Section 7 of the Clayton Act, citing conspiracy and attempted monopolization.
Pfizer said it seeks injunctive relief to prevent the transaction, asserting that Novo Nordisk, Metsera, and its controlling stockholders (Validae Health, Population Health Partners, and ARCH Venture Funds XII and XIII) engaged in activities detrimental to competition and patients suffering from obesity, diabetes, and other metabolic conditions.
The company has also filed a separate suit in the Delaware Court of Chancery to block Metsera from terminating its existing merger agreement with Pfizer.
