Vaxcyte, Inc. (Nasdaq: PCVX) announced that on September 24, 2025, it entered into a long-term Master Services Agreement with Patheon Manufacturing Services LLC, a Thermo Fisher Scientific company, to produce its drug products at Patheon’s Greenville, North Carolina facility. Under the 15-year agreement, which automatically renews for three-year terms unless terminated, Patheon will handle formulation, filling, inspection, packaging, labeling, testing, manufacturing, and supply. Vaxcyte committed to purchasing binding minimum amounts at set prices, with adjustments possible, and will also cover technology transfer costs and reimburse certain capital expenditures.
The deal includes customary provisions such as confidentiality, warranties, and liability limits, while termination rights allow either party to end the agreement under conditions like legal violations, insolvency, or material breach. If Vaxcyte terminates for convenience, it must pay Patheon the greater of a fixed mid-eight-figure sum or amounts tied to current forecasts, plus capital commitments; termination for program failure carries separate agreed fees.
